With a history of providing bond counsel and other services to state and local governments, investment banks, and others extending back to 1892, we have been a national leader in assisting governmental, nonprofit and other clients in financing public projects. Members of our Public Finance team, who average more than 20 years of experience, have worked on hundreds of municipal bond financings for a wide variety of issuers and projects.

We provide counseling on the proper structuring of municipal and other debt issues. We also prepare documentation; advise on tax, securities and other relevant legal matters; negotiate terms of the financing; and provide legal opinions on the validity and tax-exempt status of, and other matters relating to, the obligations being issued. Our lawyers have drafted state legislation relating to public finance, and have testified at legislative hearings on public finance issues. We also represent public finance clients in litigation and bankruptcy matters and in tax controversies. Our roles in public finance transactions include:

  • Bond counsel
  • Counsel to underwriter or placement agent
  • Counsel to issuer or conduit borrower
  • Special tax counsel
  • Special disclosure counsel
  • Counsel to investor
  • Counsel to credit enhancement provider
  • Counsel to indenture trustee
  • Counsel to provider or user of structured investment and derivative products
