Issues to be discussed include:

  • What are the requirements of the new guidance and how does it supplement existing obligations?
  • Who are the Covered Entities that are subject to this new guidance?
  • How should Covered Entities implement the new standards?
  • What can be learned from similar guidance and enforcement actions by other federal regulators?
  • Will there be unintended liabilities to counterparties and the public which Covered Entities will incur as a result of this new data security guidance?
  • How might the costs for Covered Entities to comply with the additional regulatory recordkeeping and reporting obligations under the Dodd-Frank Act be compounded by these additional data security obligations?
  • Will counterparties have a private right of action against Covered Entities to seek monetary damages for the Covered Entities’ unauthorized (and perhaps unintended) disclosure, misuse, alteration, destruction or other compromise of such data?
