We regularly assist creditors’ committees, indenture trustees, secured and other lenders, real and personal property lessors, vendors, adversary proceeding defendants or other parties in bankruptcy cases, and creditors’ rights litigation in many jurisdictions, as well as in Delaware.
We also handle a broad base of substantial litigation throughout the Delaware state and federal courts, including the Delaware Court of Chancery, the nation’s premier forum for corporate litigation. We regularly litigate and try cases before the Court of Chancery in all manner of litigation matters facing enterprises both locally and around the world, including, but not limited to, corporate governance and control, stock appraisals, director and officer liability, and applications of temporary, preliminary and permanent injunctive relief. Specifically, we have significant experience litigating lawsuits brought under the Delaware General Corporation Law and similar statutes for limited partnerships, limited liability companies, and other alternative entities, including advancement and indemnification rights, shareholders’ meetings, inspections and copying of books and records, appointment or removal of directors and officers, and corporate dissolutions, liquidations, and the appointment of custodians, receivers or trustees.
Further, we have considerable general civil litigation experience, practicing before the Delaware Superior Court and the Delaware Court of Common Pleas in areas such as trade secrets, deceptive trade practices, defamation and unfair competition; breach of contract and interference with contractual or business relationships; unclaimed property; antitrust; intellectual property; employment and employment agreements; and false claims and qui tam disputes.
The lawyers resident in our Wilmington office also frequently appear in a wide variety of alternative dispute resolution forums, including those unique to Delaware, such as the Court of Chancery’s confidential arbitration and mediation proceedings, as well as the Delaware Superior Court’s complex commercial civil litigation division and the Delaware Court of Common Pleas’ special election and expedited docket.
