Tad is a member of Reed Smith's Business & Finance - Corporate & Securities Group, including the Life Sciences Transaction team. Tad represents clients involved in sophisticated securities and corporate transactional matters. He is experienced in assisting clients in all stages of the corporate growth cycle.

Tad represents issuers in public offerings of securities, including initial public offerings, secondary offerings and resale registration of securities. He also advises public companies on SEC periodic reporting and proxy requirements, including compensation disclosure and related compliance matters.

Tad also represents issuers, venture groups and investors in various forms of private financings, including private placements, debt and equity bridge financings, and venture capital financings. He also has substantial experience in structuring, negotiating and documenting various complex business transactions, including mergers and acquisitions, recapitalizations and reorganizations, exchange offers, licensing and technology transfer arrangements, and joint venture formations.

In addition to representing clients in capital raising activities, SEC matters and complex transactional matters, Tad has over 20 years of experience representing clients in the negotiation and preparation of a broad range of operational agreements, commercial arrangements and governance matters, such as consulting, licensing, shareholder, operating, partnership, confidentiality and employment agreements and Board of Director, Audit Committees and Compensation Committee representation.
