Ellen is a partner in Reed Smith's San Francisco office and is a member of the firm’s Energy & Natural Resources Group. She has considerable experience serving clients in the energy industry, and has been representing companies in the wind energy sector since 1987. Ellen has been involved in energy projects throughout the United States, Canada, Italy, Spain, Australia, and South America. She regularly represents manufacturers and distributors of technology in a wide variety of commercial transactions, assisting domestic and foreign entities with the development, construction and ownership of projects, equipment sales, debt and equity financings, and project and company acquisitions and dispositions. She has negotiated hundreds of equipment supply contracts; engineering, procurement and construction agreements; service and warranty agreements; operations agreements; development agreements; construction contracts and subcontracts; transportation contracts; management agreements; licenses, project real estate development agreements; ground leases; and credit support documents.
Ellen also advises clients in the formation of new business entities, joint venture agreements, and facility acquisitions and dispositions. She has provided targeted advice on specific transactions for start-up companies—including strategic alliances, distribution arrangements and restructurings—and has acted as outside general counsel to international clients, providing general advice on a wide variety of issues and matters, including product liability counseling, foreign currency, trade letters of credit and employment advice, and managing matters pertaining to international tax, intellectual property, export controls and disputes. Ellen has also advised clients on real estate matters, including multi-family housing development projects in the Western United States, negotiating multiple rooftop antennae and cellular site leases on behalf of building owners and representing a large domestic commercial bank in office, branch and ATM lease transactions.
In 2011, Ellen was the co-founder of the firm’s Energy & Natural Resources Group and served as Co-Chair from 2011 – 2014. In addition, Ellen has received the following recognitions:
