Jodi joined Reed Smith's Business and Finance Department, Corporate and Securities Group, in 2011. Jodi focuses her practice on mergers and acquisitions, general corporate, and securities law. She advises public and private company clients on a variety of matters, including public offerings, private equity transactions, mergers and acquisitions, and general securities and corporate law. She has worked with such clients, as well as private equity firms in connection with their investments and divestitures, in industries including healthcare, financial services, media and technology, consumer, transportation, and entertainment/sports. In addition, Jodi regularly counsels investment advisers and private funds on general corporate matters (including fund formation), compliance, and investments. In particular, she often works with offshore private equity or hedge funds seeking to raise capital in the United States. Jodi spends a significant amount of time representing middle market investment banks in their engagements as underwriters in public offerings of securities under the Securities Act of 1933 and placement agents in PIPE and registered direct transactions, as well as counseling such banks in connection with their delivery of fairness opinions as financial advisors in acquisition and disposition contexts.
