U.S. companies are familiar with the strict requirements of the Foreign Corrupt Practices Act, which in recent years have been extensively used by U.S. enforcement agencies to investigate and prosecute corrupt activity by both U.S. companies that operate overseas and non-U.S. companies which have some connection to the U.S. The UK has overhauled its law on corruption in the Bribery Act 2010, which will come into force on a date yet to be fixed by the new government. This new legislation introduces important new offences which will apply to any business either based in the UK or which has some part of its operation in the UK. The Bribery Act is in some important respects more far-reaching than the FCPA. This article explains how the Bribery Act will affect U.S. companies that operate in the UK.
