Carol is the Vice Chair of the firm's Life Sciences Health Industry Group, practicing in the area of health care regulatory law. For more than 25 years, she has practiced exclusively in health care law, providing ongoing counseling on regulatory and legislative initiatives affecting life sciences and health care companies, including Medicare and Medicaid coverage and reimbursement issues, survey and certification, and contractual arrangements. In addition, she has extensive experience in the fraud and abuse area advising clients on various business transactions and arrangements for compliance with physician self-referral and anti-kickback laws, and representing clients in criminal and civil proceedings and investigations. Carol also assists pharmaceutical and device manufacturers, providers and suppliers to develop and implement corporate compliance programs.
Carol's practice includes a special focus on advising clients on the regulatory requirements and business considerations in connection with health care financial transactions. She has represented issuers in public offerings, companies and investors in financing transactions, and buyers and sellers in major acquisitions in the life sciences and health care industry, focusing on due diligence and related regulatory issues. She also assists public companies in the preparation and review of documents filed with the Securities and Exchange Commission.
Representative Matters
Represented Manor Care, Inc., an operator of 500 long-term care, home health, hospice and ancillary businesses, as national health care counsel in its $6.3 billion going private transaction with affiliates of The Carlyle Group.
Represent a national institutional pharmacy company as health care regulatory counsel on multiple acquisitions and ongoing operational issues. Past transactions included convertible debt offerings, and an extensive corporate reorganization and consolidation.
Represented a major private equity group as health care regulatory counsel on the acquisition of two medical device companies.
Represent long term care facilities, pharmacies, and drug and device manufacturers on developing and implementing corporate compliance programs.
Represented MedAssets, Inc. a revenue cycle managed company, as health care regulatory counsel, in multiple acquisitions and its initial public offering.
Represent the American Health Care Association, a trade association of long-term and assisted living facilities, as General Counsel.
Represent several hospice companies in acquisitions and operational matters.
Represent medical device companies on internal reorganizations, Medicare and Medicaid reimbursement matters, and compliance reviews.
Represent providers of outpatient rehabilitation therapy services on Medicare and state licensure requirements.
Counsel health care and life sciences companies on joint ventures, strategic alliances and operational agreements.
Represent a hospital system in an assessment of physician-owned medical device companies.
