Joel R. Schaider
Joel is a Senior Partner in our Chicago office and has extensive experience representing major banks, financial institutions, borrowers and investors in corporate lending and financing transactions.
Joel currently represents some of the world's largest financial institutions in connection with their role as agent in complex syndicated transactions, providing financing to borrowers across a diverse spectrum of industries and has extensive experience in negotiating and documenting unsecured facilities in addition to facilities secured by collateral of every kind. Clients frequently call on Joel for his expertise with leveraged acquisition financings, multi-state secured credit facilities, mezzanine financings, re-financings, sophisticated lease finance transactions and other equipment financings.
Representative Matters
Advised Wells Fargo Bank, N.A., in a $120 million syndicated term loan to Woodward Governor Co., the proceeds of which were used to complete the acquisition of a subsidiary of a public company.
Counsel to U.S. Bank, N.A. in a $122.5 million syndicated revolving credit facility to Wirtz Beverage Company, the largest liquor distributorship in Illinois, a portion of the proceeds were used to complete an acquisition.
Represented Wells Fargo Bank, N.A. in a $170 million syndicated credit facility to finance the acquisition by a Chicago-based private equity firm of a provider of mechanical contracting and industrial services to refining and petrochemical companies.
Counsel to Marathon Special Opportunity Master Fund, Ltd. in a $50 million purchase of senior subordinated notes which were used to finance the $1.45 billion leveraged buy-out of the assets of Unilever North America Fabric Care by Huish Detergents Inc.
Represented RBS Citizens, N.A. in a $75 million syndicated senior loan facility in connection with the recapitalization of Mortgage Contracting Services (MCS), a leading national provider of inspection and property preservation services to mortgage servicers.
