Dave is the immediate past-chair of the firm's Business & Finance Department.  His practice is comprised of general corporate, securities, technology and financing law.

He regularly handles a wide range of general corporate transactions such as mergers, acquisitions, divestitures and buyouts, as well as transactions involving various types of financing, including venture capital, public offerings, private placements, credit lines, acquisition financings, and leveraged leases.  He has also participated in the organization and financing of many business enterprises, particularly technology-based businesses.  Dave serves as principal outside counsel to a number of publicly traded and privately held business enterprises, including many technology based businesses.  He also maintains an active transactional practice.

Representative Matters

  • Represented Crown American Realty Trust in the largest initial public offering of a shopping mall real estate investment trust to date.

  • Represented Westinghouse Air Brake Company in a leveraged recapitalization and subsequent initial public offerings of equity and debt securities.

  • Represented Kevin McClatchy and his investment group in their successful effort to purchase the Pittsburgh Pirates. Dave continues to serve as counsel to the Pirates, including representation with respect to the development of a new baseball park in Pittsburgh.

  • Represented Carnegie Mellon University in the commercialization and sale of its interests in Lycos Internet software, and represented CMU in the initial public offering of Lycos.

  • Represented Westinghouse Air Brake in its merger with Motive Power Industries, which created North America’s largest provider of technology-based products and services for the rail industry.
