Andrew is a member of the Financial Industry Group and is a Team Leader for the Derivatives & Structured Products Group. As a JD/MBA with extensive experience as both in-house counsel and a private practice attorney, Andrew brings a multi-disciplinary approach to his capital markets and investment management practice. Andrew currently counsels Reed Smith's Financial Industry Group clients on a wide variety of business, corporate governance, regulatory and transactional matters with an emphasis on the use of derivatives by investment advisors and their clients. He also routinely represents and counsels firm clients in a variety of other industries (including the financial services, steel, supply chain management, commodities, commodities trading, and energy industries) with respect to their use of derivatives and other sophisticated financial instruments. Andrew routinely conducts specialized training sessions for financial institutions and corporations with respect to the documentation of derivatives under a variety of master agreements (e.g., ISDA Master, FEOMA, IFEMA, MSFTA).

Representative Engagements

  • Advise diverse client base with respect to ISDA negotiations and structuring of transactions across all asset classes – rates, FX, equities, credit and commodities
  • Counsel a myriad of significant derivative trade counterparties and service providers in the Lehman Brothers bankruptcy proceeding
  • Created manuals and business plans to enable financial institution and investment adviser clients to respond rapidly to the bankruptcy of a trade counterparty
  • Developed insider trading compliance program for a financial institution's CDS trading activity
  • Developed comprehensive compliance manual to enable a non-U.S. metals trading firm to enter and operate in U.S. derivatives and physical metals market
  • Regularly advise non-U.S. commodity trading firms with respect to regulatory issues arising in connection with U.S. based derivatives trading programs
  • Advised OTC derivative trade affirmation service provider with respect to U.S. regulatory issues arising under U.S. securities and commodities laws
