Chris joined Reed Smith in 2007, and practices in the firm's Corporate & Securities group.  He has experience in a wide variety of transactions, including securities offerings, private equity investments and corporate mergers and acquisitions.  Chris represents investment banks and issuers in public and private offerings of equity and debt securities, and investors and issuers in private equity investments.  Chris also represents public companies regarding 34 Act compliance matters.

Chris is a deputy of the Securities and Capital Markets group. He is a member of the Social and Digital Media Task Force and co-authored the Securities chapter of the Social Media White Paper entitled "A Legal Guide to the Commercial Risks and Rewards of the Social Media Phenomenon."

Representative Matters

  • Representing issuers in initial public offerings of equity securities (ranging from $100 million to $1 billion)

  • Representing underwriters in primary and secondary public offerings (initial public offerings and follow-on offerings) of equity securities (ranging from $200 million to $500 million)

  • Representing initial purchasers in private placements of high yield and convertible debt securities (ranging from $100 million to $600 million) (including representing initial purchasers in a private placement of equity securities in connection with a Hong Kong initial public offering by a PRC issuer)

  • Representing issuers in private placements of high yield and convertible debt securities ($400 million to $1.25 billion)
