Tom represents companies in corporate, intellectual property and finance transactions.  His corporate clients are in several industries and at many different stages of development. Tom advises clients on corporate and securities issues, secured and unsecured debt, commercial law and competitive business practices, sales and distribution practices, and the acquisition and protection of intellectual property. Tom has substantial experience in negotiating credit facilities and both finance and operating leases on behalf of lenders and borrowers.   

Many of Tom's clients are technology, health care or life science companies.  Tom has substantial experience in negotiating technology licenses and collaborations, development and distribution agreements, capital and debt financing for start-up and mature companies, mergers and acquisitions and other complex transactions. He has also advised clients in the negotiation and preparation of many different domestic and international commercial agreements. His work has included structuring and negotiating employment relationships with management personnel, including various management incentive compensation arrangements, and preparing stock option and SAR plans.  He is a frequent speaker on the negotiation of intellectual property agreements and legal issues facing early stage companies.

He has represented hedge funds and other entities in PIPE and other investment transactions. He has also negotiated and prepared software licenses, system integration agreements and ASP service agreements relating to several industries.
