Vince concentrates his transactional practice on private equity, mergers and acquisitions, venture capital investments, general corporate finance and securities matters, leveraged buyouts, public and private debt offerings and ESOP transactions. His practice encompasses a broad range of industries including life sciences, technology, manufacturing and retail sales. He also advises his clients on joint ventures, licensing and related general corporate matters. Vince represents a number of the country's leading architectural firms in their industry-specific and corporate matters. His experience and work with ESOP transactions provides his clients with an alternative exit opportunity from traditional venture capital or private equity opportunities. Vince was recently appointed as the firm's Local Office Partner for the Mid-Atlantic region.
In addition to managing his practice, Vince is the Chairman of the Private Equity and Venture Capital Committee of the Philadelphia Bar Association. He is a guest lecturer on merger and acquisition transactions at Temple University Beasley School of Law and Villanova University School of Law. Vince is also a certified public accountant and worked as an auditor with KPMG, LLP for a number of years prior to attending law school. While attending law school, he also earned his Masters of Business Administration. He has provided pro bono counsel to the Juvenile Law Center. He is active in youth sports in his community where he is a ICBA League Travel Basketball coach as well as a Northampton Township baseball coach. Vince also maintains an office in the Firm's Princeton office. He resides in Richboro, PA with his wife and two children.
Representative Matters
Represented an equipment rental company’s management team in the sale and subordinated debenture transaction with an international private equity firm. The transaction was valued at approximately $3.2 billion.
Represented a privately held corporation in the $225 million recapitalization to provide a $220 million dividend to the stockholders of the corporation.
Represented a private equity fund in its $1.3 billion transaction relating to the recapitalization and debt restructuring of a power plant and electric generating utility company, which was selected as North American Power Energy Deal of the Year 2005.
Represented a global software provider in the acquisition of both domestic and international strategic technology companies.
Represented a Fortune 150 energy company in a number of acquisitions of partnership interests and joint venture transactions relating to the production of alternative fuel sources.
