Eulalia is a partner in the firm's Corporate & Securities Group, where she focuses on corporate governance, corporate finance and federal securities law matters. Eulalia has extensive experience in capital markets transactions, including public and private debt and equity offerings, venture capital investments, secured debt financings, contract monetizations and other structured financings, and project financings in the capital markets. She also represents clients in tender offers, consent solicitations and exchange offers. She represents clients in a variety of general corporate and other matters, including in connection with mergers and acquisitions, restructurings and derivatives transactions. She regularly advises public companies regarding periodic reporting obligations and other corporate governance, as well as legal and contractual compliance matters.

Eulalia has represented clients in various industries, but has a specific focus in energy, renewables and clean technologies. Eulalia also works with small- and micro-cap U.S. public companies, particularly companies with their primary operations based in China, in ongoing Securities law and exchange compliance, corporate governance matters and capital markets transactions including PIPE, Regulation D and registered direct offerings.

  • Registered and private offerings of over $2.3 billion aggregate principal amount of contingent convertible notes, including registered offering of $736 million aggregate principal amount at maturity of contingent convertible notes and related collateralized share lending arrangement

  • Private offering of $3.5 billion in multi-tranche secured notes and term loans in multi-facility project financing transaction

  • Private offering of $301 million aggregate principal amount of insured, senior secured notes in multi-facility project financing transaction

  • Monetization of long-term power sale agreement including $802 million multi-tranche private offering of secured notes

  • Private offerings of $877 million aggregate liquidation preference of Convertible Preferred Securities, Remarketable Term Income Deferrable Equity Securities (HIGH TIDESSM) and related resale shelf registration
