Shannon specializes in employee benefits and executive compensation. She has experience advising clients of all sizes across a range of industries regarding employee benefits and executive compensation matters, including compliance of qualified retirement plans, documentation and disclosure of nonqualified plans, Code Sections 409A and 280G, health and welfare plans and day-to-day plan administration. Shannon provides guidance on ERISA fiduciary matters, including best practices based on the employer’s size and benefit offerings. Shannon also advises on employee benefit and executive compensation matters in the context of mergers, acquisitions, and other investment transactions, both prior to the transaction and during the post-closing transition of benefits. She is experienced with executive-level employment agreements as well as severance and change in control arrangements, and has advised on a wide range of incentive opportunities, including equity and non-equity based plans.
