We were approached by a top 10 global corporation to advise on the employment aspects of the acquisition of a well-known global Internet brand based in the UK. We undertook due diligence on the target company and identified the risks and potential liabilities arising from the proposed acquisition using our experience with UK employment law, and colleagues in other offices and our network of foreign law firms around the world. We drafted an innovative deferred consideration mechanism and secured indemnities from the seller to provide our client with the protection it needed going forward. Following the acquisition, we implemented bonus and commission programmes across multiple jurisdictions, and advised on the post-acquisition restructuring, including the harmonisation of terms and conditions of employment.
