Jodi joined Reed Smith's Corporate Group in 2011.  Jodi’s practice is centered on counseling investment advisers and private funds on general corporate matters (including fund formation and investments), as well as advising other clients with respect to mergers and acquisitions, general corporate and securities law.   From July 2015 until October 2017, she was on secondment at UBS Hedge Fund Solutions LLC, the second largest fund of funds in the world.  While there, she focused on review and revision of domestic and offshore commingled and customized fund documentation and acted as in-house corporate counsel with time spent drafting and negotiating corporate agreements, non-disclosure agreements and side letters with potential investors, co-investment partners, service providers and portfolio funds into which UBS-managed funds and managed accounts may invest.   She also had sole responsibility for the drafting of investment management agreements for single investor discretionary and non-discretionary mandates, oversight of investment documentation by certain large single investor mandates and the drafting and negotiation of purchase and sale agreements in connection with secondary portfolio fund interest sales.  In addition to her work in the alternative asset management sector, Jodi advises public and private company clients on a variety of matters, including mergers and acquisitions, public offerings, private equity transactions, and general securities and corporate law. She has worked with such clients, as well as private equity firms in connection with their investments and divestitures, in industries including healthcare, financial services, media and technology, consumer, transportation, and entertainment/sports.  Over the course of her career, Jodi has spent a significant amount of time representing middle market investment banks in their engagements as underwriters in public offerings of securities under the Securities Act of 1933 and placement agents in PIPE and registered direct transactions, as well as counseling such banks in connection with their delivery of fairness opinions as financial advisors in acquisition and disposition contexts.
