Ben joined Reed Smith in 2016 following graduation from the Georgetown University Law Center, and he is currently an associate in the Global Corporate Group. His practice includes general corporate counseling, transactional work, and securities matters. Ben works with a variety of clients including public corporations, emerging growth companies, start-up companies, and nonprofit organizations.
His corporate counseling experience consists of advising on corporate governance matters, counseling on operational and daily challenges and concerns, and drafting corporate governance documents. His transactional practice includes mergers and acquisitions, private equity and venture capital financing transactions, restructurings, and leveraged buyouts. He serves in a variety of roles in transactions, ranging from legal diligence and drafting ancillary agreements to managing transactions and drafting primary transaction documents. His securities work focuses primarily on annual and quarterly reporting requirements and filings.
During law school at Georgetown, Ben served as a certified student attorney at the Social Enterprise & Nonprofit Law Clinic, and he continues to provide legal assistance on a pro bono basis through corporate governance counseling and drafting and negotiating corporate governance documents and general business agreements.
