Joe is a partner in the firm’s Global Corporate Group.
Joe’s practice focuses on advising global financial institutions and banks in negotiating complex asset management services arrangements with their customers, structuring product offerings, responding to RFPs, and complying with federal and state regulations governing the provision of financial services.
Joe represents investment funds, investment advisers, broker-dealers, transfer agents, and commodity pool operators (CPOs) and commodity trading advisers (CTAs) on the federal laws that govern the securities and commodities industries, including the Investment Company Act, the Investment Advisers Act, the Securities Exchange Act, and the Commodity Exchange Act.
Joe is an experienced commercial negotiator who structures and closes complex technology, outsourcing, and procurement transactions for hosted technology, software licensing, and professional and consulting services. Joe negotiates technology transactions and contracts for software licensing, hosted technology, and professional and consulting services, as well as a wide-variety of purchase and services agreements. Joe also builds template contracts tailored to his corporate clients’ regulatory environments, risk tolerances, and business and operational objectives.
Joe also counsels public and private companies on corporate and securities matters. Joe’s corporate and securities practice includes drafting quarterly and periodic reports pursuant to the federal securities laws; advising on securities offerings; and advising on general corporate, and governance, and business matters.
