Reed Smith’s EME Private Equity and Finance Team will be hosting an interactive seminar guiding attendees through a case study scenario examining some of the key aspects of a private equity deal.  Attendees will work in groups to discuss some of the issues that may arise.

Topics covered will include:

• Acquisitions, including the share purchase agreement (covering warranties, limitations and restrictive covenants) and the disclosure letter
• Equity arrangements between a private equity investor and management, including the investment agreement and articles of association
• A look at debt finance aspects of a private equity acquisition, both at the outset and over the life of the investment
• Sharing our views on market trends

This seminar is open to junior and mid-level investment professionals and those wanting to gain a better understanding of the legal elements of private equity transactions.
