Marissa focuses her practice on Structured Finance, primarily advising clients on highly complex transactions, including cross-border financings, distressed situations, and real estate finance matters. She has experience across a broad range of asset classes, with a particular focus on esoteric and real estate related assets involving repurchase and warehouse facilities, asset sales and public and private securitizations. She regularly advises on commercial mortgage-backed securities (CMBS) transactions and private placements issued under Regulation S, Rule 144A and Rule 4(a)(2) of the Securities Act. She also counsels on related Investment Company Act considerations, UCC Article 8, Article 9 issues and U.S. risk retention matters. Marissa represents clients across diverse industries, including real estate finance, secondary debt market, equipment finance, banking, FinTech, diamonds and manufacturing. She also works closely with the restructuring team.
