Stephane’s practice focuses on business law, with an emphasis on real estate and corporate transactions. He has extensive experience with acquisitions, dispositions, financings and joint ventures of real estate-based assets and businesses, as well as the development of real estate-based projects.

Experience

Representative matters

Siting, site acquisition, entitlement and development of multiple power generation, energy storage and transmission facilities throughout the US (including those sited on private and government owned/administered lands). This includes the development of many solar PV generation facilities (10 – 175 MW), wind generation facilities (100 – 300 MW), geothermal facilities (80-240 MW), battery storage facilities (5-150 MW), natural gas-fired facilities and transmission facilities. Many of these projects were successfully permitted, financed and are in commercial operation. Stephane’s client’s on these projects primarily included owners, sponsors and capital providers. For example, Stephane represented affiliates of Terra-Gen, LLC in connection with the Voyager I and Voyager II projects (134 MW and 192 MW, respectively), and affiliates of LS Power Development, LLC in connection with the Centinela Solar Energy project (170 MW).
Acquisitions, dispositions, financings (debt and equity) and joint ventures of power generation and transmission projects (operating and development-stage). This includes the disposition of an approximately $3.5 billion geothermal, wind and solar operating asset portfolio; acquisition of multiple operating wind facilities in Southern California; acquisitions and dispositions of development stage solar and wind projects (20 MW – 400 MW); and joint ventures for the development of solar PV projects (20 MW – 140 MW). For example, Stephane represented US Solar Holdings LLC and ArcLight Capital Partners LLC in connection with the sale to NRG Solar LLC of a development stage solar project portfolio (CSP and PV) consisting of 9 projects with proposed aggregate capacities in excess of 450+ MW, and US Solar Holdings LLC in connection with the sale to affiliates of First Solar, Inc. of the 139 MW Mount Signal Project (PV), now known as the Campo Verde Project.
Acquisition, disposition, financing (debt and equity) and joint venture of hotel properties throughout the United States. Stephane’s primarily represents owners, sponsors and capital providers on these matters. For example, Stephane has represented affiliates of Blum Capital Partners, LP and London and Regional Properties in connection with numerous hotel properties.
