Anna Karapetyan’s practice focuses on business transactional law, with an emphasis on real estate and corporate transactions. She has significant experience in the development, construction, and debt and tax equity financing of utility-scale energy projects, including wind, solar, battery storage, and electrical transmission projects throughout California and the United States.
Anna’s experience includes:
- Real Estate Contracts: Advises clients in all stages of a transaction, from structuring the deal and conducting diligence, including reviewing complex title, survey and zoning matters, to permitting, development, and negotiation of a variety of land rights, including lease agreements, option agreements, purchase and sale agreements, easements, licenses, loan agreements, and ancillary documents, as well as structuring projects throughout the U.S. in a financeable manner.
- Solar: Advises clients on real estate and development matters for solar energy generation projects both in commercial operation and currently under development. Advised Terra-Gen in the development, debt and tax equity financing for the Edwards Sanborn Solar and Storage Project consisting of 410 MWac of solar modules 1,443 MWh of battery storage, which was the largest single solar and battery storage project to be financed. This transaction was named the Americas Renewables Deal of the Year by Project Finance International.
- Wind: Advises clients on the development and dent and tax equity financing of wind projects, including operational issues and the divestiture of utility-scale wind energy projects.
- Energy Storage: Advises clients on real estate and development matters for hybrid solar and energy storage and standalone energy storage projects, including related debt and tax equity financing.
- Transmission: Advises clients on transmission lines associated with renewable energy projects and standalone transmission projects, substations, switchyards, and HV converter stations.
Anna is actively involved within Reed Smith and serves as the Associate Committee Representative and as the WINRs Representative in the Century City Office. She has also served on the Summer Associate Committee every year since joining the firm after law school. While at USC Gould School of Law, Anna was the Managing Editor of the RLSJ Law Journal and was the published author of a note. Additionally, Anna served as the Supervisor of the Intellectual Property and Trademark Clinic.
