Kirsten S. Lowell

Kirsten is an associate in the international trade and national security team. She focuses on cross-border regulation of capital and technology, with significant experience representing clients on foreign direct investment and export control matters. Kirsten has secured approval from the Committee on Foreign Investment in the United States (CFIUS) and Team Telecom for major investments in U.S. telecommunications, manufacturing, and technology companies. Kirsten has advised clients on export control matters, including classification, licensing, voluntary disclosure and administrative enforcement, and regulatory counseling. Kirsten has led regulatory due diligence on export control, sanctions, anti-bribery, and other U.S. regulatory matters on dozens of strategic and economic investments in the United States.

Represented a software company in its acquisition by a Japanese global manufacturing company, including advising on a significant and complex transaction requiring approval from CFIUS and several of its global counterparts.

Represented an Indian conglomerate to secure approvals from CFIUS in its acquisition of a global semiconductor-related business.

Advised an artificial intelligence (AI) technology company in the energy and natural resources industry on receiving investments from foreign persons.

Represented an Indian conglomerate to secure approvals from CFIUS in its acquisition of a global semiconductor-related business.

Advised a global investor in technology, financial services, and health care companies based in India on multiple transactions focused on acquiring AI software technology companies in the United States.

Performed due diligence screening on vendors, distributors, and representatives for compliance with sanctions, export controls, and bribery and corruption regulations in multiple jurisdictions.

Represented the largest global specialty retailer of nutritional products in a broad range of CFIUS issues related to, for example, corporate reorganizations, new foreign investments, cybersecurity and sensitive personal data, and the company’s compliance under the Letter of Assurance (LOA) with CFIUS.

Advised a foreign automotive manufacturer on CFIUS implications and requirements related to various investments in U.S. auto industry technologies, including investments in autonomous vehicles, automation and AI, and software development.

Advised U.S. investment teams and companies in energy and natural resources on foreign investments in real property under CFIUS’s regulations and complementary state laws.

Represented a health care and life sciences staffing solutions provider before CFIUS in its acquisition of a U.S. radiological interpretation services company with access to personal health data.

Represented a laser manufacturer throughout the CFIUS process and negotiated a national security agreement on a five-day timeline to ensure timely closing.

Advised a number of clients from Asia, Europe, and the Middle East on investments in the United States, including representation before CFIUS, jurisdictional issues, and the impact of trade controls such as sanctions and export controls.
