(May 17, 2005, Los Angeles) - Reed Smith LLP, a top-25 international law firm, announces the addition of Russell M. Frandsen as a partner in the firm’s Corporate & Securities Group in its Los Angeles office, effective today.
Mr. Frandsen was formerly with the Los Angeles office of Squire, Sanders & Dempsey.

A 1976 graduate of Duke University Law School, Mr. Frandsen has been a corporate attorney in the Los Angeles area for more than 28 years. He has extensive experience with mergers and acquisitions, as well as with general corporate and securities matters for predominantly middle market clients.
“I am very enthusiastic about Reed Smith’s expanding practice platform, its economic track record, and its ability to support my clients’ public offering and SEC-related needs in Southern California,” said Mr. Frandsen. “The firm’s life sciences capability will also be invaluable to my clients.”
Mr. Frandsen provides representation in intellectual property, tax, technology transfer, and real estate matters, in the life science and technology sectors, and in real estate retailing and restaurant operations. His background includes taking clients through IPOs and providing advice on hostile tender offers, proxy contests and other fights for corporate control as well as on corporate financing, joint venture financing, and other finance vehicles. He has considerable experience representing both underwriters and issuers in both public and private offerings, SEC regulatory matters, corporate restructurings and venture funding transactions. His practice also includes business and tax planning and representation of clients before the IRS and US Tax Court.

Mr. Frandsen’s professional activities include serving as the current Chair of the Executive Committee of the Caltech MIT Enterprise Forum, membership in several sections of the American Bar Association and the State Bar of California. He publishes and lectures widely on transactional matters. His community connections include the Los Angeles Venture Association and the Los Angeles chapter of the Association for Corporate Growth.
