Edwin advises clients on a range of matters involving the trading of commodities, alternative fuels projects and derivatives transactions. His experience includes advising on the trading of power, oil and gas, biodiesel, ethanol, iron ore, and cement. He also represents clients in the financing, construction, and operation of pyrolysis plants that convert plastics to refined petroleum products. Edwin negotiates and drafts commercial agreements, including joint venture agreements, letters of intent, purchase and sale agreements, general terms and conditions, credit facilities, security agreements, EEI master agreements, NAESB master agreements, LEAP master agreements, master repurchase agreements, netting agreements, guarantees, letters of credit, marine terms, trade confirmations, master purchase and sale agreements, and terminaling storage and throughput agreements.
With respect to derivatives transactions and futures transactions, Edwin represents clients with respect to the negotiation, and documentation of International Swaps and Derivatives Association (ISDA) master agreements, schedules, credit support annexes, account control agreements, novation agreements, confirmations, power annexes, gas annexes, and other ISDA documentation. In addition, Edwin represents clients in connection with the negotiation and documentation of futures customer agreements, cleared derivatives addendums, cleared derivatives execution agreements and lock up agreements. His matters have included transactions in the U.S. and European derivatives markets, as well as derivatives transactions in Asia, Latin America, Australia and Africa.
Edwin counsels clients on Dodd-Frank Act compliance issues related to swaps, including ISDA and International Energy Credit Association (IECA) Dodd-Frank Protocols, commodity options, the end-user exception to the clearing requirement for swaps, and conflict minerals reporting. He regularly liaises with the U.S. Commodity Futures Trading Commission (CFTC) and futures exchanges with respect to compliance matters.
Edwin represents energy companies, commodity trading companies, multinational investment banks, independent exploration and production companies, investment advisers, and hedge funds. His practice encompasses both domestic and international transactions, including work in Latin America, Europe, Africa, Asia, and Australia.
