Will it ever clear? Navigating a murky merger enforcement landscape

U.S. merger enforcement policies and priorities have undergone more significant changes in the past four years than the prior three decades.

While these changes have been more dramatic at the FTC than at the DOJ Antitrust Division, both agencies have demonstrated a commitment to lowering the threshold for merger challenges and curbing what they perceive as unacceptable levels of consolidation across various industries. These changes are reflected in the agencies' enforcement actions, increased burdens for HSR filings, revisions to the Merger Guidelines, and various policy statements and speeches.

During this 1-hour webinar, we will discuss what these changes mean for companies engaging, or planning to engage, in transactions under this new regime. In particular, we will cover:

  • Merger enforcement policy today: what do the recent changes mean for merging parties;
  • The agencies' other recent policy statements and their implications;
  • The agencies' recent enforcement scorecard and what that record means for future challenges;
