Reed Smith represents Headlight Partners in strategic investment in RepSpark

BOSTON and CHICAGO – Global law firm Reed Smith represented Headlight Partners, a growth equity firm that invests primarily in high-growth B2B software companies, in its strategic investment in RepSpark, a wholesale ecommerce platform serving golf, outdoor, and lifestyle apparel brands and retailers.

The investment emphasizes Headlight’s commitment to supporting B2B software platforms and entrepreneurs that have established leading positions in their markets. 

RepSpark supports wholesale commerce for brands in golf, swim, fitness, tactical, footwear, and other verticals through a unified platform offering digital ordering, product customization, digital catalogs, event microsites, accounts receivable, and AI-powered insights. The platform serves over 250 brands and 100,000 retailers worldwide, processing more than $4 billion in annual B2B transactions. 

RepSpark will use Headlight's investment to expand its enterprise product suite, grow its ERP integration ecosystem, deepen its AI-powered tools, and strengthen customer success infrastructure to support retention.

The Reed Smith deal team was led by Matthew Hacker, Austin McCarthy, and Crockett Stevenson and included, among others, Ari Byk, Thomas Marrinson, and John Vishneski.
