Edwin advises clients on a range of matters involving the trading of commodities, alternative fuels projects, and derivatives transactions. His experience includes advising on the trading of power, oil and gas, biodiesel, ethanol, iron ore, and cement. He also represents clients in the financing, construction, and operation of pyrolysis plants that convert plastics to refined petroleum products. Edwin negotiates and drafts commercial agreements, including joint venture agreements, letters of intent, purchase and sale agreements, general terms and conditions, credit facilities, security agreements, EEI master agreements, NAESB master agreements, LEAP master agreements, master repurchase agreements, netting agreements, guarantees, letters of credit, marine terms, trade confirmations, master purchase and sale agreements, and terminaling storage and throughput agreements.

Experience

Representative matters

Represented commodities trading client in connection with a complex, structured profit sharing arrangement involving the purchase of crude oil from producers in Midland, Texas; the transport of such crude oil to Corpus Christi via a new pipeline being constructed; the loading of such crude oil onto vessels at multiple terminals, and the export of such crude oil to their customers around the world.
Represented the world's largest oilfield services company in the negotiation and execution of an ISDA master agreement and related schedules, credit facility and related ancillary documents in connection with a leasing transaction involving crude oil and natural gas assets in southeastern Alberta, Canada.
Represented an energy management company in the negotiation and execution of ISDA master agreements, related schedules, credit support annex, and power annexes in connection with their hedging and power trading transactions.
