Frances is an associate in the corporate team of our Hong Kong office. She obtained her Bachelor of Laws (LLB) and Postgraduate Certificate in Laws (PCLL) from The University of Hong Kong in 2016 and 2017 respectively and qualified as a solicitor in Hong Kong in 2020.

Representative matters

Acting for eLong, Inc., a wholly-owned subsidiary of Tongcheng Travel Holdings Limited (SEHK: 0780) (“Tongcheng Travel”), as Offeror in its HK$1.42 billion (approximately US$183 million) voluntary conditional general cash offer for all the issued shares in Dida Inc. (SEHK: 02559), a carpooling and mobility platform listed on the Main Board of the Hong Kong Stock Exchange. Tongcheng Travel is a leading online travel platform in China principally engaged in the provision of transportation ticketing, accommodation reservation and tourism-related services.

Advising China Renaissance Securities (Hong Kong) Limited, as sole placing agent, overall coordinator and capital market intermediary, on the placing of up to 10,000,000 new shares of RoboSense Technology Co., Ltd (Stock Code: 2498) to institutional and corporate professional investors. The total gross proceeds from the placing are expected to be approximately HK$277.5 million.

Advising Road King Infrastructure Limited and its subsidiaries RKPF Overseas 2019 (A) Limited ("Issuer A”), RKPF Overseas 2020 (A) Limited ("Issuer B”) and RKPF Overseas 2019 (E) Limited (“Issuer C”) on (i) the tender offers in respect of 6.7% Guaranteed Senior Notes due 2024, 5.9% Guaranteed Senior Notes due 2025 and 6.0% Guaranteed Senior Notes due 2025 issued by Issuer A and 5.2% Guaranteed Senior Notes due 2026 and 5.125% Guaranteed Senior Notes due 2026 issued by Issuer B (collectively, the “Notes”); and (ii) the consent solicitations in respect of the Notes and 7.75% Senior Guaranteed Perpetual Capital Securities issued by Issuer C.

Representative Experience

Advising a state-owned digitalization and intelligentization comprehensive service provider in China on the possible privatisation by way of scheme of arrangement by its controlling shareholder and the withdrawal of listing of its shares from SEHK.

Advised Wade Investment SPC Ltd acing for and on behalf of Wade Investment SP1, being one of the funds that managed by Austen Capital International Limited, in the acquisition of 75% shares in Hang Sang (Siu Po) International Holding Company Limited (SEHK: 3626) and the mandatory unconditional cash offer triggered by the acquisition.

Advised the founding family of a leading manufacturer and distributor of confectionary products in China in selling their minority stake (40%) in a joint venture to Nestlé S.A.

Advised a NYSE-listed global apparel retailer in disposal of its Hong Kong business to its licence partner in Thailand.

Advised Road King Infrastructure Limited (SEHK: 1098) and its subsidiary in the disposal of its minority stake in a joint venture, together with three individual sellers, to a subsidiary of SHSE-listed company for a maximum of GBP22.825 million.

As a member of our cross-office team, assisted a US-based global manufacturer of materials for fabricating printed circuit brands in conducting due diligence on its Hong Kong subsidiary, as part of the proposed sale of its business operations in China.
