Yuta has extensive experience advising U.S. and international clients, including public and private companies, investment banks, and venture capital firms, on a wide range of corporate matters. Her work focuses on capital markets, securities regulations, and corporate governance practices. She has advised on numerous capital-raising transactions, including initial public offerings, follow-on offerings, private placements, de-SPACs, and strategic investments. She is well versed with ongoing 1934 Act disclosure requirements for public companies and routinely assists clients with the drafting and review of periodic and current reports, proxy statements, Schedules 13D and 13G, Section 16 reports, earning releases, sales materials and investor presentations.
