Advising Palasino Holdings Limited (“Palasino”) (stock code: 2536), a leading European gaming and leisure group, on its HK$371 million (US$47 million) IPO on the Main Board of the Stock Exchange of Hong Kong. The listing constituted a spin-off of Palasino from Far East Consortium International Limited (stock code: 35).

Advised China Education Group Holdings Limited (Stock Code: 839.HK) on its top-up placement and subscription of shares, raising net proceeds of approximately HK$1.6 billion.

Advised Arta TechFin Corporation Limited (“ARTA”) (Stock Code: 279) on the placing of shares to facilitate resumption of trading of its shares on the Hong Kong Stock Exchange (which was suspended for over 21 months, which successfully took place in Nov 2021, and other regulatory, employment and related issues.

Acting for China Education Group Holdings Limited (Stock Code 839) in its USD260 million placement. The transaction marks the largest placement for a HK-listed education provider. China Education Group is a leading global higher and vocational education group with footprints in China, Australia and the United Kingdom.

Advising Wanda Properties Overseas Limited, a subsidiary of Dalian Wanda Commercial Management Group Co., Ltd., on issuing the US$325 million 7.25 percent Guaranteed Bonds due 2022.

Represented CLSA (as IPO sole sponsor) and underwriting syndicate on the US$910 million Hong Kong IPO and 144A/Regulations S offering of Smoore International Holdings Limited, the world’s largest vaping device manufacturer.

Advising Road King Infrastructure Limited and its subsidiaries RKPF Overseas 2019 (A) Limited ("Issuer A”), RKPF Overseas 2020 (A) Limited ("Issuer B”) and RKPF Overseas 2019 (E) Limited (“Issuer C”) on (i) the tender offers in respect of 6.7% Guaranteed Senior Notes due 2024, 5.9% Guaranteed Senior Notes due 2025 and 6.0% Guaranteed Senior Notes due 2025 issued by Issuer A and 5.2% Guaranteed Senior Notes due 2026 and 5.125% Guaranteed Senior Notes due 2026 issued by Issuer B (collectively, the “Notes”); and (ii) the consent solicitations in respect of the Notes and 7.75% Senior Guaranteed Perpetual Capital Securities issued by Issuer C.

Acted for Shanghai Yuyuan Tourist Mart Co. Ltd. on its acquisition of 80% interest in International Gemological Institute.

Acted as legal adviser to the underwriter of China Securities (International) Corporate Finance Company Limited in the initial public offering of Huali University Group Limited on the Main Board of the Hong Kong Stock Exchange.

Represented Fosun International Limited and its affiliated companies in their purchase of H shares of Tsingtao Brewery Company Limited.

Represented WZ Group Limited (formerly Hangzhou Greentown ECommerce) in connection with the investment in the company by Greentown China Holdings Limited.

Assisted Fosun International Limited and China Molybdenum Co., Ltd. in SEC compliance and reporting.

Assisted Haitong Chuang Yi Capital in its Series A-2 investment in a robot company based in Boston, Massachusetts.

Assisted Asiatic Group (Holdings) Limited in the extension, and the amendment of the terms and conditions, of certain guaranteed and non-guaranteed bonds.

Assisted a Singapore headquartered developer and manager of power and infrastructure projects, backed up by a leading energy and resources-focused global PE firm, in its acquisitions and sales of various project companies in South East Asia, Bangladesh and Australia.
