Represented Verizon, Hearst and Complex Networks in the sale of Complex Networks to BuzzFeed for $300 million, part of BuzzFeed’s business combination with 890 5th Avenue Partners, Inc. (a SPAC)

Advised Québec-based Pelican International Inc., a designer and manufacturer of kayaks, canoes, pedal boats, fishing boats and related accessories, and its U.S. affiliate, in its acquisition of substantially all of the assets of South Carolina-based Confluence Outdoor, LLC, a manufacturer and distributor of kayaks, canoes, stand up paddleboards, surfboards and related accessories.

Represented MGP Ingredients, Inc., a leading provider of distilled spirits, branded spirits, and food ingredient solutions, on the acquisition by MGP’s subsidiary of Penelope Bourbon, LLC in a transaction valued at up to $215.8 million.

Represented Infinite Assets, Inc. in its business combination with Aries I Acquisition Corp., a SPAC, representing a pro forma equity value of the combined company of approximately $700 million.

Represented Nexsight, LLC in the $120 million sale of Nexsight, LLC and its market leading businesses (Envirosight, WinCan, MyTana and Pipeline Renewal Technologies) to IDEX Corporation.

Represented KushCo Holdings, Inc. in its Stock-for-stock merger of equals with Greenlane Holdings, Inc., creating the leading ancillary cannabis company and house of brands.

Represented Venus Concept Ltd. in its merger with Restoration Robotics Inc., a global leader in robotic hair restoration, in an all-stock transaction with combined company revenue of $130 - $135 million.

Represented Santander Bank in the sale of seven branches to Community Bank, N.A., a subsidiary of Community Financial System, Inc.

Represented Quaker Valley Foods, Inc. and its affiliated entities on the sale of their business and the sale of real property used to operate the business to Hidden Harbor Capital Partners.

Represented Leeds Equity Partners, a private equity fund, on its platform acquisition of e.Republic, a California-based media, research, data, and events company focused on supporting public-sector innovation across state and local government and education, and the parent company of Government Technology.
