Representative matters

Advised Maritime Partners, LLC on its acquisition of all of Centerline Logistics Corporation (Centerline) from an ownership group, including Macquarie Capital, ArcLight Capital, and others. Centerline is a leading marine transportation company operating along the U.S. West, East, and Gulf Coasts, including Alaska, Hawaii, and Puerto Rico. Centerline specializes in transporting and storing petroleum products, providing ship assist and escort services, and handling general cargo and rescue towing. This acquisition represents a transformative milestone for Maritime Partners, constituting its largest acquisition to date and its first acquisition of an operating company of this size.

Advised MGP Ingredients, Inc., a leading provider of distilled spirits, branded spirits, and food ingredient solutions, on the entry by MGP’s Luxco, Inc. subsidiary into an agreement to acquire Penelope Bourbon, LLC. MGP will acquire 100% of the equity in Penelope, a family-owned and operated premium American whiskey (bourbon) company, in a transaction valued at up to $215.8 million, consisting of an upfront cash payment of $105 million and a potential earnout of up to $110.8 million based on the achievement of certain milestones.

Advised Quaker Valley Foods, Inc. (QVF) and its affiliated entities on the sale of their business and the sale of real property used to operate the business to Hidden Harbor Capital Partners. QVF is a leading protein distributor operating in the Northeast and Mid-Atlantic with a focus on serving independent and ethnic grocers, foodservice operators, and other regional distributors in a wholesale capacity.

Advised Blackstone and its Belgium-based portfolio company, DESOTEC, on DESOTEC’s acquisition of the Carbon Reactivation and Slurry Operations business of Evoqua Water Technologies. The Reed Smith team led Blackstone and DESOTEC through the auction and acquisition process, which was structured as a complex carve-out of assets from Evoqua, including multiple carbon reactivation facilities across the United States and tribal nations. DESOTEC is a leading provider of sustainable mobile filtration solutions in Europe and is establishing its leading market position in the United States.

Advised Adagio Medical, Inc. (Adagio), a leading innovator in catheter ablation technologies for treatment of cardiac arrhythmias, on its business combination with ARYA Sciences Acquisition Corp IV (Nasdaq: ARYD), a special purpose acquisition company that is sponsored by an affiliate of Perceptive Advisors, LLC. Based in Laguna Hills, California, and founded in 2011, Adagio brings the durability of surgical treatments of cardiac arrhythmias to patients undergoing minimally invasive cardiac ablations for atrial fibrillation, atrial flutter, and ventricular tachycardia. Since its founding, Adagio has pioneered a number of unique ablation technologies, such as ultra-low temperature cryoablation and pulsed field cryoablation, designed to produce durable, contiguous, transmural lesions anywhere in the heart.

Advised Leeds Equity Partners, a private equity fund, on its platform acquisition of e.Republic, a California-based media, research, data, and events company focused on supporting public-sector innovation across state and local government and education, and the parent company of Government Technology.

Advised Leeds Equity Partners and its portfolio company Genius SIS, in connection with the acquisition of Zappee, a company that provides software and services to K-12 schools, higher education institutions, and online learning programs.

Advised Nexsight, LLC and its market-leading businesses (Envirosight, WinCan, MyTana, and Pipeline Renewal Technologies) on its $120 million sale of Nexsight, LLC to IDEX Corporation.

Advised Infinite Assets, Inc. on its business combination with Aries I Acquisition Corp., a special purpose acquisition company (SPAC), representing a pro forma equity value of the combined company of approximately $700 million.

Advised the corporate venture capital arm of a major manufacturer and distributor of cosmetic products on the sale of a hair care brand to new ownership.

Advised a leading global eye health company on its acquisition of a developer of eyecare technology intended to provide an effective treatment for glaucoma and lower eye pressure.

Advised Vista Outdoor in connection with its acquisition of Fiber Energy Products. Fiber Energy Products is a wood pellet manufacturing company that produces premium hardwood and softwood heating pellets, BBQ and grilling pellets, and animal bedding.

Advised Verizon and Hearst on the $300 million sale of global youth entertainment and digital media company Complex Networks to BuzzFeed, in connection with BuzzFeed’s merger with 890 Fifth Avenue Partners, a SPAC.

Advised Vista Outdoor in connection with its acquisition of Stone Glacier, a premium brand focused on ultra-lightweight performance hunting gear designed for backcountry use.

Advised Bioventus Inc., a global leader in innovations for active healing, on the sale of the Advanced Rehabilitation business of its subsidiary, Bioness, to U.S.-based private equity firm Accelmed Partners. The transaction was structured as a hybrid sale of assets and stock in the United States, EU, and Israel
