Lyn is a leading partner in Reed Smith’s U.S. Capital Markets practice and advises issuers, underwriters, sponsors, investors, and public company boards on complex capital markets and strategic transactions. He represents clients across the full life cycle of public and private companies – from capital formation and transformative M&A to governance, regulatory compliance, and contested situations – delivering integrated counsel that aligns transactional execution with securities law and board-level considerations.

Full-scope capital markets counsel with global reach. Lyn counsels clients on IPOs, de-SPAC business combinations, take-private transactions, reverse mergers, recapitalizations, Rule 144A and Regulation S offerings, private placements, asset-backed securities, joint ventures, fund formation, and M&A. He regularly advises boards and management teams on corporate governance, SEC reporting and compliance, exchange listing standards, and the ongoing obligations of public company life. His cross-border work includes landmark sovereign ETF offerings in India, AIM-listed IPOs with concurrent U.S. Rule 144A/Regulation S components, and transactions involving Canadian-listed issuers, UK-listed financial institutions, Swiss private equity firms, and European clean energy businesses.

Sophisticated transaction execution across industries and structures. Lyn has extensive experience across the SPAC life cycle, representing sponsors, targets, and underwriters in IPOs and business combinations, including several multi-billion-dollar de-SPAC transactions. He advises on take-private transactions and reverse mergers, guiding clients through the structuring, disclosure, and regulatory complexities that distinguish these matters from traditional M&A. His practice spans energy (upstream, midstream, and downstream), health care and hospice, technology, financial services, insurance, travel, real estate, life sciences, and precious metals.

Corporate governance and contested situations. Lyn advises boards and significant stockholders on fiduciary duties, board composition and independence, defensive preparedness, and stockholder engagement. In contested matters, he counsels on advance notice bylaws, poison pills, Schedule 13D monitoring, and activist strategy, drawing on experience advising participants on both sides of activism.

Crypto and digital assets capital markets. A member of On-Chain, Reed Smith’s Crypto & Digital Assets Group, Lyn advises blockchain technology companies, fund sponsors, and institutional investors on token offerings, Bitcoin treasury strategies, PIPE financings, and the application of U.S. securities laws to crypto-native transactions.

Represented HUB International in its $150 million acquisition of Florida-based Squaremouth, which specializes in travel insurance brokerage services.

Represented North Atlantic Acquisition Corp., a Special Purpose Acquisition Company, in connection with its acquisition of TeleSign, Inc., a leading Communications Platform as a Service company, in a deal with an aggregate transaction value of over $1.7 billion.

Represented ITHAX Acquisition Corp., a Special Purpose Acquisition Company, in connection with its acquisition of Mondee, Inc., a group of leading travel technology, service, and content companies, in a deal with an aggregate transaction value of over $1 billion.

Represented HUB International in its $150 million acquisition of Florida-based Squaremouth, which specializes in travel insurance brokerage services.

Represented European Sustainable Growth Acquisition Corp., a Special Purpose Acquisition Company, in connection with its acquisition of ADS-TEC Energy GmbH, a global leader in battery-buffered ultrafast charging technology, in a deal with an aggregate transaction value of almost $600 million.

Acted for YES Bank Pvt. Ltd., a large India commercial bank, in connection with its $40 million loan to a cryogenics transport and storage equipment manufacturer located in Houston.

Acted for Amazon.com in connection with its $60 million investment in the Series C Preferred Stock of BankBazaar, an Indian online lending marketplace that gives consumers access to customized rate quotes on loans, credit cards and personal finance products.

Represented Aurcana Corporation (TSX: AUN) in connection with its $50 million unsecured three-year credit facility from Orion Mine Finance, a private equity firm, and a related silver offtake agreement.

Represented Prime Focus Technologies, a leading provider of cloud platform technology to the media content production industry, in its $20 million acquisition of DAX Cloud, a leading provider of cloud services.

Represented Palomar Capital Advisors Ltd., a private equity firm based in Zurich, Switzerland, in connection with its initial $15 million investment in Mantacor Energy LLC, an oil and gas exploration and production (E&P) company focused on the Denver-Julesburg Basin of Colorado and the San Juan Basin in New Mexico.

Advised the government of India in its INR 3,000 crore (approximately $706 million) initial public offering of its first central public sector enterprise exchange-traded fund (ETF) on the National Stock Exchange. ICICI Securities Ltd. served as financial adviser to the Indian government, and Goldman Sachs Asset Management India Ltd. would manage the ETF, which would hold stakes in 10 selected central public sector companies including the Oil and Natural Gas Company, Coal India, Gas Authority of India, Ltd., Rural Electrification Corporation, Oil India, Container Corporation of India, Power Finance Corporation, Indian Oil Corporation, Engineers India and Bharat Engineering.

Represented holders of Texas-based hospice services company in connection with $700 million sale of portfolio company of GTCR to T.H. Lee.

Advised an E&P company in connection with the formation of two oil and gas joint ventures with a large international private equity fund in a transaction valued at an aggregate of $740 million. The joint ventures would focus on the production of oil and gas as well as the acquisition of working interests and royalty interests, respectively, in oil and gas properties in Pennsylvania and Ohio.

Advised a Swiss private equity firm in connection with its recapitalization of a North Carolina life sciences company that manufactures and provides products and services to the pharmaceutical industry that predict in vivo behavior through the use of cell-based technologies.

Advised a Texas-based provider of hospice services in connection with its reorganization and concurrent $59 million leveraged recapitalization by GTCR Golder Rauner II, a Chicago-based private equity firm.

Acted for a NYSE Amex-listed precious metals smelter and dealer in connection with its acquisition of a 27-unit retail chain engaged in the sale of precious metals located in the southeastern United States.

Acted for a NYSE-listed real estate development company in connection with its $117.5 million acquisition of capital interests in three planned unit development partnerships holding real estate in the Houston, Texas, metropolitan area from a NYSE-listed financial services firm.

Acted for a Missouri-based software provider in sale to an NYSE-listed insurance company for an aggregate purchase price in excess of $150 million.

Advised a Texas-based precious metals company in the sale of stock and retirement of debt totaling approximately $20 million from the Alan Stanford receivership.

Advised a U.S.-based software company in connection with the purchase of its partially owned European subsidiary in a transaction valued at approximately $10 million.

Advised Texas-based hospice provider in a merger with a transaction valued in excess of $1 billion.

Acted for Silver Oak Energy, a EnCap portfolio company, in connection with the sale of oil and gas production and related infrastructure in Madison County, Texas, to a large overseas oil and gas company.

Acted for the Bharat 22 ETF, launched by ICICI Prudential Asset Management Company, in connection with its INR 14,500 crore ($2.25 billion) new fund offer (NFO) advising on the Rule 144A/Regulation S tranche of the NFO. The Bharat 22 ETF trades on the Bombay Stock Exchange and the National Stock Exchange. The Bharat 22 ETF is a well-diversified ETF with stocks representing basic materials companies accounting for 4.4 percent of its weightage, energy companies 17.5 percent, finance companies 20.3 percent, industrials 22.6 percent, fast-moving consumer goods companies 15.2 percent and utilities 20 percent. The Bharat 22 ETF tracks the S&P BSE Bharat 22 Index. It is the largest new fund offer to date in India.

Advised a medical real estate investment partnership in the formation of a $125 million fund and private placement of partnership interests.

Acted for a UK investment bank as underwriter in connection with GBP $150 million initial public offering of common shares on the AIM Market of the London Stock Exchange (and concurrent Rule 144A/Regulation S offering in the United States) by an Irish company engaged in the specialty lending business.

Advised a Toronto Stock Exchange–listed silver mining company in connection with its $46 million 144A/Regulation S placement of equity and equity-linked securities and an additional private placement of $60 million of the securities to over 125 investors in the United States.
