Contracts often are the foundation of a business relationship, yet can be filled with archaic language, redundancies, and confusing terms that leave the parties unsure of their obligations. Some of these issues can be quite nuanced or seem insignificant on the surface, but can create troublesome issues for your client. Conditional language, ambiguities, and legalese frequently create uncertainty, whether intentional or not, yet are prevalent in many agreements drafted by even the most seasoned attorneys. Falling victim to the traps of legal “bloat” and ambiguity can subject your clients to unwelcome risk, potential disputes, and added costs.
Please join Vincent R. Martorana as he covers many important—but often unconsidered or misunderstood—principles to assist attorneys with drafting, analyzing, and interpreting contracts.
