Lilly was previously an M&A and corporate partner in Baker McKenzie’s Palo Alto office, and, before that, chaired Greenberg Traurig's Silicon Valley corporate practice group. Lilly has practiced in Silicon Valley for over 15 years and has nearly three decades of experience working on transformative cross-border and domestic M&A transactions. Over his career, he has advised in the negotiation and execution of numerous major acquisitions and leveraged buyout transactions in the information technology, fintech, auto tech, health care and AI.

Lilly’s practice focuses on complex cross-border and domestic acquisitions, divestitures, joint ventures, strategic investments, corporate governance, growth financing and advising boards on innovative investment structures. He represents numerous fund sponsors in connection with structuring and organizing investment funds, as well as parallel investment vehicles, offshore funds, co-investment/side-by-side partnerships, side pocket equity investments and sponsor operating agreements. He also provides transactional and general corporate advice to portfolio companies.
