Kelly represents corporations, private equity and pension fund sponsors, and investment banks in public and private equity and debt offerings. She also provides guidance on governance and Exchange Act compliance. Additionally, she advises clients on mergers and acquisitions, private equity and SPAC transactions, minority investments, divestitures, joint ventures, and other corporate transactions. Her work spans sectors including health care, energy, technology, consumer products, and financial services.

Kelly joins Reed Smith from Sidley Austin LLP, where she was counsel. She earned her J.D. from Georgetown University Law Center and B.A., magna cum laude, from Pepperdine University. She is admitted to practice in New York and Texas.
