Edward is a partner in Reed Smith's Energy and Natural Resources Group. His practice includes domestic and international infrastructure project transactions, with primary emphasis on the representation of developers, contractors, equipment manufacturers and operators involved in energy projects. His experience includes the preparation and negotiation of site acquisition agreements; engineering, procurement and construction agreements; subcontracting agreements; equipment supply, installation and commissioning agreements; operation and maintenance agreements; interconnection agreements; power purchase agreements; and related project contracts.
His commercial and project finance transactions include domestic and international transactions, with significant experience in the area of secured construction and term loan financings and the negotiation and preparation of guarantees, letters of credit and other credit support documents.
Edward's mergers, acquisitions, and joint venture experience encompasses the negotiation and preparation of stock and asset purchase and sale agreements, joint venture agreements, and shareholder and operating agreements.
His general corporate counseling has included the preparation and negotiation of internal formation documents; executive compensation arrangements; professional services agreements; technology development, transfer, licensing, and distribution agreements; corporate debt and equity financing transactions; and securities option, purchase and repurchase agreements for emerging and established companies.
