FRANKFURT – Global law firm Reed Smith has advised Photonis Group, a global leader in electro-optical detection and imaging devices, on the acquisition of ProxiVision GmbH Germany, a specialist developer and manufacturer of UV detection solutions. The transaction is currently subject to individual regulatory approvals with its closing is expected to happen in the coming weeks.

ProxiVision, with more than 60 employees in Bensheim, Germany is known for its strong know-how in amplified tubes and cameras in the ultraviolet spectrum with solar blind function.

Photonis is a French high-tech company with more than 85 years of experience in photodetection and imaging and is held by HLD Associés Europe since 2021. Thanks to its sustained investments, Photonis is one of the leading innovators in optoelectronics, with more than six offices in Europe and the U.S. and more than 1,100 employees.

Reed Smith's interdisciplinary M&A team, led by Dr Octávio de Sousa, Office Managing Partner Frankfurt, included partners Harald Heller (Real Estate), Christian Leuthner (Data Protection), Dr Martin Buenning (Tax), Christian Filippitsch and Wim Vandenberghe (Regulatory/FDI) as well as Max Seuster (Regulatory/FDI / Counsel) and Dr Christoph Mikyska (IP / Counsel), Philipp Bergmann (Associate, Finance), Vincent Magotsch (Associate, Employment), Max von Döhren (Associate, Corporate), Cecilia Manny (Associate, Corporate), Irmela Dölle (Associate, Data Protection) and Jonas Weimert (Associate, IP).

In addition to corporate advice, the transaction included advice on financing, labor law, tax structuring, real estate law, data protection law, IP and IT, regulatory advice in the field of electro-optical detectors as well as advice on foreign trade law and antitrust law.
