The Amendment Ordinance seeks to modernise the Companies Ordinance (Cap. 622) (the CO) and the Companies (Model Articles) Notice (Cap. 622H) to expressly cater for companies wishing to hold fully virtual general meetings without the requirement for members to be present at any physical locations, as well as hybrid general meetings involving both members attending virtually and members attending at physical locations.

Current legislation

Under section 584 of the CO, a Hong Kong-incorporated company may hold a general meeting at two or more locations using any technology that enables the members of the company who are not in the same location to listen, speak and vote at the meeting. Yet, there is no provision in the CO for a company to hold a fully virtual general meeting or a hybrid general meeting.
