“The equity capital markets are evolving rapidly, with regulatory reform, cross-border connectivity and technology all changing the way companies and investors approach public markets. Across the U.S., Hong Kong, Singapore, and the UK, we are seeing different responses to a common challenge: how to make markets more accessible while maintaining appropriate protections for investors. These developments are giving companies more options around where and how they raise capital, but they also make market selection and transaction planning increasingly important,” said Samantha Myers, partner in Reed Smith’s Global Corporate Group.
The report highlights a series of regulatory changes across the four jurisdictions, alongside growing opportunities for issuers and investors to access capital across borders. It also examines the continued role of technology-led fundraising, public-to-private transactions, and returns of capital as market participants respond to changing conditions.
Regulatory reform reshapes market access
Across the four jurisdictions, regulators are introducing changes designed to modernize market frameworks and, in some cases, make access to public markets more flexible.
In the United States, proposed SEC reforms would broaden eligibility for certain registered offerings and reduce existing seasoning and public float requirements. In Hong Kong, the introduction of the Uncertificated Securities Market regime and the expansion of confidential filing are set to change the listing process. Singapore has also introduced significant amendments to its Takeover Code, while the UK is progressing reforms to its AIM and listing frameworks.
Cross-border capital creates new opportunities
The report also identifies greater connectivity between markets as an important theme. Hong Kong is seeking to strengthen its position as a gateway to Southeast and Central Asia, while Singapore has introduced the SGX-Nasdaq Global Listing Board bridge, allowing qualifying issuers to pursue dual listings through a unified prospectus.
In the UK, proposed changes around redomiciliation and the first use of the Public Offers and Admissions to Trading regime are also creating new routes for companies seeking access to public capital.
Technology and innovation remain key drivers
Technology companies and emerging sectors continue to feature prominently across the markets covered by the report. Hong Kong is seeing activity from hard-tech, AI, and advanced manufacturing companies, while UK fundraising activity includes companies operating in areas such as semiconductors and solid-state batteries.
Public M&A and returns of capital remain active
The report also highlights continued activity in public takeovers, privatizations, and returns of capital. In the UK, 25 firm offers were announced in the first half of 2026, with an aggregate transaction value of approximately £35.4 billion. Hong Kong and Singapore have likewise seen a range of public-to-private transactions, share buybacks, and other capital allocation activity.
Looking ahead
Across all four jurisdictions, the report identifies a common direction of travel toward more accessible, digitally enabled, and accountable markets. For issuers, shareholders, and intermediaries, the changing regulatory landscape is making decisions around market access, venue selection, and transaction structure increasingly important.
