The presenters will provide an overview and discuss the evolution of the fairness opinion, with principal focus on the changes that have occurred in the past two years. In addition to discussing recent cases and statutory and regulatory changes, they will use case studies to illustrate key issues and trends. The program will be presented by Sheryl Cefali and Gregory Range, managing directors of Duff & Phelps LLC, one of the nation's largest independent financial consulting organizations.

This program qualifies for 1 hour general MCLE credit in California and 1 hour CLE general credit for experienced attorneys in New York. Applications for approval are pending in Pennsylvania and Virginia.
