(Princeton, NJ, January 5, 2001) Diane Frenier and Edward (Tad) Bromley III have joined the Princeton office of Reed Smith LLP as partners in the Business and Finance Department. Their addition will significantly expand the firm's biotech law practice and corporate securities practice in the New Jersey region. Both worked closely together at the Princeton law firm of Smith, Stratton, Wise, Heher & Brennan before coming to Reed Smith.
Ms. Frenier has extensive experience in general corporate, licensing and securities law and has a high-technology client base which is predominantly comprised of pharmaceutical and biotech entities. Ms. Frenier's clients include publicly-held and privately-owned companies, including Bristol Myers Squibb where she is involved with, among other matters, technology transfer and licensing arrangements. She also represents a variety of mid-sized businesses where she serves as general counsel, including a gene discovery and bioinformatics company, a micro-processing chip manufacturer and a generic drug company. Ms. Frenier received her BS from Rutgers University and her JD from Rutgers University School of Law.
Mr. Bromley also has considerable experience as a general corporate and securities lawyer. Mr. Bromley represents issuers in securities offerings, including private placements and public offerings; mergers and acquisitions; exchange offers; joint venture formations; recapitalizations and reorganizations. He also advises public companies on SEC periodic reporting and proxy requirements and on routine compliance issues such as Section 16 reporting; Rule 144 sales and Williams Act matters. In addition to representing clients in capital raising activities and SEC matters, Mr. Bromley negotiates a wide range of commercial arrangements such as consulting, licensing, shareholder, operating, partnership, confidentiality, and employment agreements. Mr. Bromley received his BA from Hobart College and his JD from Rutgers University School of Law.
