Jeffrey’s practice is focused on all aspects of executive compensation, including plan design, equity compensation, transactional matters and securities law issues. Jeffrey regularly advises companies of all sizes regarding executive compensation matters, including related corporate governance issues, and reporting requirements under federal securities law.
Jeffrey has extensive experience on a wide range of complex executive compensation matters, including the design and implementation of executive compensation plans, the tax aspects of equity, performance-based and deferred compensation arrangements and the disclosure rules applicable to executive compensation. Jeffrey has handled a wide range of compensatory plans, including stock and non-stock based plans, non-qualified retirement plans and other deferred compensation arrangements, as well as plans based on foreign traded securities, performance-based plans and associated trusts.
In addition, Jeffrey works closely with public company issuers on securities law compliance and general corporate guidance. Also, Jeffrey is experienced with executive-level employment agreements, and related severance and change in control arrangements. Jeffrey has represented clients in a broad number of industries, including financial services, retail and various technology industries, from a wide range of geographical locations throughout the United States and abroad.
