Jeffrey’s practice is focused on all aspects of executive compensation, including plan design, equity compensation, transactional matters, and securities law issues. He regularly advises publicly traded companies of all sizes regarding executive compensation matters, including related corporate governance issues and reporting requirements under federal securities law, and is experienced in executive compensation advice in connection with mergers and acquisitions, including private equity matters.
Jeffrey has extensive experience in a wide range of complex executive compensation matters, including the design and implementation of executive compensation plans, the tax aspects of equity, performance-based and deferred compensation arrangements, and the disclosure rules applicable to executive compensation. He has handled a wide range of compensatory plans, including stock- and non-stock-based plans, non-qualified retirement plans, and other deferred compensation arrangements, as well as plans based on foreign-traded securities, performance-based plans, and associated trusts.
In addition, Jeffrey works closely with public company issuers on securities law compliance and general corporate guidance. Also, Jeffrey has comprehensive experience with executive-level employment agreements and related severance and change in control arrangements. He has represented clients in a broad number of industries, including financial services, retail, life sciences, health, and various technology industries, from a wide range of geographical locations throughout the United States and abroad.
