The Recent SEC Attack on Confidentiality Agreements: What Employers Need to Know and Do Now

The April 1, 2015, SEC enforcement action against a government contractor for requiring witnesses in an internal investigation to sign confidentiality agreements that contained a clause that “could potentially” discourage whistleblowing—in violation of the Securities Exchange Act of 1934 Section 21F and Rule 21F-17 thereunder—is both a warning signal to, and a call for prompt action by, all employers. While the impact is potentially greatest for public companies, all employers may be impacted.
