The Recent SEC Attack on Confidentiality Agreements: What Employers Need to Know and Do Now

April 20, 2015 (12:00 p.m. EDT // 9:00 a.m. PDT)

The April 1, 2015, SEC enforcement action against a government contractor for requiring witnesses in an internal investigation to sign confidentiality agreements that contained a clause that “could potentially” discourage whistleblowing—in violation of the Securities Exchange Act of 1934 Section 21F and Rule 21F-17 thereunder—is both a warning signal to, and a call for prompt action by, all employers. While the impact is potentially greatest for public companies, all employers may be impacted.

  • Join Reed Smith lawyers Betty Graumlich, Lisa Blackburn and Amanda Haverstick for a one-hour webinar on what employers can learn from the SEC’s recent enforcement action and how they can prepare for—and best guard against—becoming the next subject of the agency attack. The program will address:
  • The background and details regarding the SEC’s April 1, 2015, action
  • Parallel enforcement trends seen at other agencies, including the OIG, NLRB and EEOC
  • Tips for employer self-auditing of employment agreements and policies to avoid being targeted (or found liable) by these agencies in the future
