Tad represents issuers and stockholders in public offerings of securities, including secondary offerings and the resale of securities. He also advises public companies on SEC periodic reporting and proxy requirements, including compensation disclosure and related compliance matters. He represents issuers, venture groups and investors in various forms of private financings, including private placements, debt and equity bridge financings, and venture capital financings.

Tad has substantial experience in structuring, negotiating and documenting various complex business transactions, including mergers and acquisitions, recapitalizations and reorganizations, exchange offers, licensing and technology transfer arrangements, and joint venture formations.

Tad also has 25 years of experience representing companies in the negotiation and preparation of a broad range of operational agreements, commercial arrangements and governance matters, such as consulting, licensing, shareholder, operating, partnership, confidentiality and employment agreements. He also advices Boards , Audit Committees and Compensation Committees.
